Under the supervision of the Deputy General Counsel and Corporate Secretary, the Corporate Governance Specialist and Paralegal provides support to that role, the Legal Department and other company functions. The nature and scope of the responsibilities of this position require the keeping of the duty of confidentiality, professionalism, discretion, initiative, independent judgment, and a high degree of tact and prudence.

Specific Responsibilities, include:

• Drafts and compiles board materials and uploading to board portal
• Drafts correspondence, memoranda, board and committee resolutions, minutes, and written consents
• Drafts and filesreports, via Workiva, with the Securities and Exchange Commission (SEC), including Section 16 securities ownership filings, proxy statement, and form 8-Ks
• Oversees board and annual meeting material preparation processes
• M&A and company financing activities including organizing and maintaining M&A documentation
• Contract management and risk management and performs duties related to department and company records
• Performs duties related to claims procedure and documentation, discovery requests, subpoenas, litigation support, department invoice processing, and legal department spend
• Oversees subsidiary governance and entity management system
• Performs basic legal research and remains current and advises Corporate Secretary on governance updates
• Performs other legal and administrative duties not requiring the expertise or licensing of an attorney in a timely fashion with attention to detail and quality.
